BACKPASS BETA - TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

By accessing or using the services provided by BackPass LLC, a Delaware limited liability company ("BackPass"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service.

2. BETA PROGRAM PARTICIPATION

2.1 Beta Nature of Service

• The Service is in beta testing and provided "AS IS"
• Features and functionality may change without notice
• Service interruptions may occur
• Beta access may be modified or revoked

2.2 User Feedback

By participating in the Beta, you agree to provide feedback about your experience, which we may use without compensation to improve our Service.

2.3 Support

Customer support is provided on a best-effort basis with responses typically within 2-3 business days via email at matthew@backpass.co.

3. SERVICE DESCRIPTION

3.1 What We Provide

BackPass Beta is a technology platform that provides:

• Journey planning and routing suggestions
• Hostel and accommodation booking facilitation
• Payment processing for journey purchases
• Allocation and surcharge calculations
• Balance tracking for payments

3.2 What We Do NOT Guarantee

• Accommodation availability or quality
• Licensed travel agent services
• Travel insurance or protection
• Guaranteed pricing accuracy

4. USER ACCOUNTS AND RESPONSIBILITIES

4.1 Account Creation

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of unauthorized access
• One account per person

4.2 User Obligations

You agree to:

• Be at least 18 years old
• Have valid travel documents
• Make required payments to accommodations
• Verify bookings with accommodations
• Not use the Service for illegal purposes
• Not violate third-party rights

4.3 Prohibited Activities

You may not:

• Resell or commercially exploit the Service
• Create false accounts
• Upload malicious code
• Harass other users
• Violate applicable laws

5. PAYMENTS AND FINANCIAL TERMS

5.1 Journey Purchases

• Journey purchases are final and non-refundable except as specified below
• Prices may change before purchase completion
• Payment processing handled by Stripe (subject to Stripe's terms)
• You authorize charges for all applicable fees

5.2 Refund Policy

Refunds are available for:

• Complete service failure preventing journey delivery
• Duplicate charges due to technical errors
• Unauthorized charges

Refunds are NOT available for:

• Change of travel plans
• Dissatisfaction with accommodations
• Price changes after purchase

5.3 Surcharges and Cash Payments

• Some accommodations require cash payment on arrival
• You are responsible for having sufficient funds
• Surcharge calculations are estimates
• Currency conversions are approximate

6. LIMITATION OF LIABILITY

6.1 Disclaimer of Warranties

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKPASS'S TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF:

• Five hundred dollars ($500 USD), OR
• The total amount you paid for services in the preceding 12 months

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING:

• Lost profits or opportunities
• Travel disruptions
• Data loss
• Third-party claims

6.3 Assumption of Risk

You acknowledge that use of the Service is at your own risk and that you are responsible for all travel arrangements and contingencies.

7. ACCOMMODATION BOOKINGS

7.1 Booking Process

• We facilitate bookings but do not guarantee availability
• You must confirm bookings directly with accommodations
• Accommodation cancellations or changes are between you and the accommodation
• We are not responsible for accommodation quality or services

7.2 Your Responsibilities

• Arrive during check-in hours
• Meet accommodation requirements
• Pay additional fees as required
• Resolve issues directly with accommodations

8. INTELLECTUAL PROPERTY

8.1 Our Property

All Service content and functionality are owned by BackPass and protected by intellectual property laws.

8.2 License to Use

We grant you a limited, non-exclusive, revocable license to use the Service for personal, non-commercial purposes.

8.3 User Content

By submitting content, you grant us a worldwide, royalty-free license to use such content for Service operation and improvement.

9. PRIVACY

Your use of the Service is subject to our Privacy Policy available at https://backpass.co/privacy. Please review it for information about how we collect, use, and protect your data.

10. THIRD-PARTY SERVICES

The Service integrates with third parties including:

• Stripe (payment processing)
• Firebase (infrastructure)
• Various accommodations

Your use of third-party services is subject to their terms and conditions.

11. INDEMNIFICATION

You agree to indemnify and hold harmless BackPass and its affiliates from claims arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another
• Your travel activities

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by Delaware law.

12.2 Arbitration

Disputes shall be resolved through binding arbitration under AAA Consumer Arbitration Rules, except for small claims court matters.

12.3 Class Action Waiver

You waive the right to participate in class actions.

13. MODIFICATIONS AND TERMINATION

13.1 Changes

We may modify the Service or these Terms at any time. Continued use constitutes acceptance of changes.

13.2 Termination

Either party may terminate the relationship at any time. Upon termination, your right to use the Service ceases immediately.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms constitute the entire agreement between you and BackPass.

14.2 Severability

If any provision is unenforceable, remaining provisions continue in effect.
